RSRVIN Terms of Service (B2C)

PLEASE READ THESE TERMS of Service CAREFULLY BEFORE USING OUR SERVICES.

RSRVIN operates as an Information Society Service provider, compliant with REGULATION (EU) 2022/2065 OF THE EUROPEAN PARLIAMENT AND OF THE COUNCIL ('Digital Services Act' or 'DSA') and Directive 2000/31/EC ('eCommerce Directive' as amended). Our platform serves as a digital conduit connecting Users (Diners) with Hosts (Venue Owners, Event Organizers, Advertisers) whose venues/events are listed on our service; its digital Services are separate and distinct from the ones rendered by the Hosts.

By accessing or using the Services or by clicking 'accept' or 'agree' to this Agreement, (1) you acknowledge that you have read, understand, and agree to be bound by this Agreement, and (2) you represent and warrant that you are of legal age and not prohibited by law from accessing or using the Services.

RSRVIN Technologies Ltd. ('RSRVIN,' 'we,' 'us,' or 'our') may update or revise this Agreement (including any RSRVIN Policies) from time to time. You agree that you will review this Agreement periodically. You are free to decide whether or not to accept a modified version of this Agreement, but accepting this Agreement, as modified, is required for you to continue using the Services. You may have to click 'accept' or 'agree' to show your acceptance of any modified version of this Agreement. If you do not agree to the terms of this Agreement or any modified version of this Agreement, you must terminate your use of the Services, in which case you will no longer have access to your Account (as defined below). Except as otherwise expressly stated by RSRVIN, any use of the Services (e.g., the use of the Reservation Services, Event Booking Services, or any other offerings) is subject to the version of this Agreement in effect at the time of use.

1. Venue Reservations and Event Bookings

   RSRVIN provides venue reservation services (the 'Reservation Services') and event booking services (the 'Event Booking Services') through the RSRVIN Sites to Users, assisting them in securing reservations at participating third-party venues or booking tickets for events (each, a 'Venue' or 'Event'). To complete a reservation, the User must choose an available date, timeslot, and seating (if the seating choice is enabled by the host) at a Venue, or select available tickets for an Event. In response to a User's online request for a Venue reservation or Event booking through the RSRVIN Sites, RSRVIN contacts the Venue's computerized database of reservations and availability, as applicable. The availability of reservations or event tickets is determined at the time of the User's query and based on information provided to RSRVIN by the Venue.

   Once the reservation or event booking request is made by the User through the RSRVIN Sites, the reservation may either be successfully completed and registered in the User's 'My RSRVIN' list along with their other reservations, or it may be cancelled due to various reasons (e.g., the User has another booking at the same Venue too close to the one requested). In any case, the User is immediately notified of the status through in-app messages (pop-ups). By using the Reservation Services or Event Booking Services, the User agrees to receive reservation and booking confirmations, updates, modifications, and/or cancellations through in-app messages (pop-ups).

2. No-Show Policy

   Reservations at Venues:

   Users must cancel any reservations they will be unable to honor within the cancellation time window set by the Venue Owner prior to the reservation start time. The specific cancellation policy, including any margins or additional terms, will be displayed at the time the reservation is made. You may cancel or edit your reservation via the RSRVIN Sites or by contacting the Venue directly.

   If you fail to cancel your reservation within the specified cancellation window, the Venue may mark you as a no-show. If you do not arrive at the Venue within 30 minutes after your reservation start time, your reservation may be handed over to others, and the Venue Owner may record you as a no-show. If a different margin applies instead of this standard one, or if other specifications are present, they will be displayed at the time the reservation is made.

   Upon arriving at the Venue, it is the User's responsibility to notify the host that they have a reservation. By using the Reservation Services, the User agrees to receive no-show notifications by email after a report that your reservation was not honored, whether or not that was in fact the case.

   Your Account may be suspended if you are a no-show for four reservations within a 6-month period. If you receive a no-show notification email in error, please contact our support for information on how to dispute it. The User agrees that all final no-show determinations will be made by RSRVIN in its sole discretion.

   Event Bookings:

   Events always involve ticket purchases (which can be free) and may or may not include reservations along with the ticket. For reservations that accompany ticketing, the above terms for Venue reservations apply.

   Event tickets purchased through the Event Booking Services are final, and cancellations or refunds are not supported at this time, nor is official resale through our platform. Failure to appear at the Event in a timely manner may result in the Venue bypassing your place in the event or canceling your booking entirely. Guarantee

3. Usage Guidelines

   User agrees to use the Reservation Services or Event Booking Services only to book reservations or purchase event tickets at Venues and then honour those reservations or event bookings by arriving at the Venues on time and adhering to the Venue's rules and regulations. User further agrees not to book more than one reservation or purchase more than one ticket for User's personal use during any one-time slot (e.g., dinner, concert, etc.). Resale or attempted resale of reservations, tickets, or waitlist spots is prohibited and is grounds for, among other things, cancellation of your reservations or bookings or termination of your access to the Services.

4. Payment Method

   In order to use the payment services ('Payment Services'), you must provide valid payment method information through the interface of our third-party payment solution provider ('Payment Solution Provider'), which may include debit or credit card details or other accepted payment methods. The Payment Solution Provider is a third-party service that processes payments on behalf of RSRVIN. All payment transactions are subject to the terms and conditions and privacy policy of the Payment Solution Provider.

   RSRVIN does not collect, store, or manage your payment method information. Any modifications to your payment method information must be made through the Payment Solution Provider's interface, which appears during the purchase process on the RSRVIN Sites.

   By providing payment method information through the Payment Solution Provider's interface, you represent, warrant, and covenant that: (1) you are legally authorised to provide such information; (2) you are legally authorised to make payments from the account(s); and (3) such action does not violate the terms and conditions applicable to your use of such account(s) or applicable law. When you authorise a payment using the payment method via the RSRVIN Sites, you represent, warrant, and covenant that there are sufficient funds or credit available to complete the payment.

   To the extent permitted by applicable law and subject to our Privacy Policy, you acknowledge and agree that we may use certain third-party vendors and service providers, including the Payment Solution Provider, to process payments and detect and prevent fraud.

   As a courtesy, we will email a receipt to the email address associated with your Account upon completion of a transaction using the Payment Services. You may print and save copies of these receipts. If you would like a paper receipt, you must request one from the Venue or Event Organizer at the time of the transaction.

   You acknowledge and agree that RSRVIN provides the Payment Services only as a convenience and is not a party to your payment transactions performed using the Payment Services. RSRVIN is an independent contractor for all purposes and is not your agent or trustee.

   RSRVIN is not responsible and has no liability for the products or services paid for with the Payment Services. RSRVIN is not responsible for overcharges or other payment disputes with Venues or Event Organizers. Users must resolve payment and other disputes directly with Venues or Event Organizers.

   RSRVIN is not liable for any payments that the Payment Services do not complete because: (1) your payment method does not contain sufficient funds to complete the transaction or the transaction would exceed the credit limit or overdraft protection of the payment method; (2) you have not provided correct payment account information; (3) your payment method has expired; or (4) circumstances beyond our control (such as, but not limited to, power outages, interruptions of internet service, or other interferences from an outside force) prevent the execution of the transaction. If any amounts owed cannot be collected through the Payment Services, you are solely responsible for paying the applicable Venue(s) or Event Organizer(s) by other means.

5. Privacy Policy

   RSRVIN Technologies Ltd. is committed to helping you safeguard your privacy online. Please review our privacy policy for details about how we collect, use, and disclose information in connection with the Services.

6. Your Account

   You may (but are not required to) create an account with RSRVIN through the RSRVIN Sites ('Account') to use the full scope of our Services. However, you must have an Account in order to use the Payment Services. When registering for an Account, you must provide true, accurate, current, and complete data about yourself on the RSRVIN registration form ('Registration Data'). You also agree to promptly update the Registration Data to keep it true, accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your Account and the information in your Account, and, except as otherwise required by applicable law, you are solely responsible for all use of your Account, whether or not authorized by you. You agree to immediately notify RSRVIN of any unauthorized use of your Account or any other breach of security related to your use of the Services.

7. Communications from RSRVIN

   If you use our Sites and Services, RSRVIN may communicate with you via electronic messages, including email, text message/SMS, or mobile push notifications in accordance with our privacy policy.

8. Intellectual Property Rights and Grant of Rights to User

   The features, information, and materials provided and depicted through the Services are protected by copyright, trademark, patent, and other intellectual property laws. All text, graphical content, video, data, and other content made available through the Services (collectively, the 'RSRVIN Content') are provided to User by RSRVIN or its partners or licensors solely to support User's permitted use of the Services. The RSRVIN Content may be modified from time to time by RSRVIN in its sole discretion. Except as expressly set forth herein, no license is granted to User for any other purpose, and any other use of the Services or the RSRVIN Content by User shall constitute a material breach of this Agreement. RSRVIN and its partners or licensors retain all rights in the Services and RSRVIN Content and any associated patents, trademarks, copyrights, mask work rights, trade secrets, or other intellectual property rights. No license, right, or interest in any trademarks of RSRVIN or any third party is granted under this Agreement.

9. Application License

   Subject to the terms and conditions of this Agreement, RSRVIN grants User a non-exclusive, non-transferable, revocable license to use the RSRVIN mobile applications, in object code form only, on User's compatible mobile devices, solely to support User's permitted use of the Services.

10. Use Restrictions

    The Services and RSRVIN Content are offered solely for User's personal use for the purposes described in this Agreement. Any and all other uses are prohibited. RSRVIN expressly reserves all its rights and remedies under applicable laws (including state, federal, and provincial/territorial laws). RSRVIN reserves the right, in its sole discretion, to refuse service, terminate Accounts, remove or edit content, cancel reservations, or deny access to the Services. You agree not to (and not to allow any third party to):

    1. Use any deep-link, robot, spider, scraper, or other automatic or manual device, process, or means to access, copy, search, or monitor any portion of the Services or RSRVIN Content, except as expressly authorized by RSRVIN;
    2. Take any action that imposes or may impose (in RSRVIN's sole determination) an unreasonable or disproportionately large load on the Services or RSRVIN's infrastructure;
    3. Utilize any device, software, or routine that will interfere or attempt to interfere with the functionality of the Services;
    4. Use any portion of the Services or RSRVIN Content to provide, or incorporate any portion of the Services or RSRVIN Content into, any product or service provided to a third party;
    5. Reverse engineer, decompile, disassemble, or otherwise seek to obtain the source code or non-public APIs to the Services, except to the extent expressly permitted by applicable law (and then only upon advance notice to RSRVIN);
    6. Modify any Services or RSRVIN Content or create any derivative product from any of the foregoing;
    7. Remove or obscure any proprietary or other notices contained in the Services or RSRVIN Content;
    8. Use the Services or RSRVIN Content for any illegal purpose; or
    9. Publicly disseminate information regarding the performance of the Services or RSRVIN Content or access or use the Services or RSRVIN Content for competitive analysis or benchmarking purposes.

11. Termination RSRVIN may suspend your ability to use all or any element of the Services or may terminate this Agreement effective immediately, without notice or explanation. Without limiting the foregoing, RSRVIN may suspend your access to the Services if we believe you to be in violation of any part of this Agreement (including any RSRVIN Policies). After any suspension or termination, you may or may not be granted permission to use the Services or re-establish an Account. You agree that RSRVIN shall not be liable to you for any termination of this Agreement or for any effects of any termination of this Agreement. You are always free to discontinue your use of the Services at any time. You understand that any termination of your Account may involve the deletion of any content stored in your Account for which RSRVIN will have no liability whatsoever.

12. Reviews, Comments, Communications, and Other Content The Services may permit you to submit, transmit, post, or otherwise provide content, including, but not limited to, reviews, comments, ratings, photos, images, videos, sounds, text, data, links, and location information; send emails and other communications; and submit suggestions, ideas, comments, questions, or other information ('User Content'). Any such User Content must not be illegal, threatening, obscene, defamatory, infringing of intellectual property rights, promoting illegal activity, invasive of a third party's privacy rights, purposely false, or otherwise objectionable. Your User Content should be unbiased and objective. You may not use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of User Content. Your name and your profile photo will be displayed publicly with such User Content. RSRVIN reserves the right (but has no obligation) to monitor, remove, or edit User Content in RSRVIN's sole discretion if User Content violates this Agreement (including any RSRVIN Policies), but you acknowledge that RSRVIN may not regularly review submitted User Content. If you do submit User Content, and unless we indicate otherwise, you grant RSRVIN a nonexclusive, perpetual, royalty-free, irrevocable, and fully sublicensable right to use, modify, reproduce, adapt, translate, publish, create derivative works from, distribute, display, and otherwise exploit such User Content throughout the world in any media. You represent that you own or have the necessary permissions to use and authorize the use of User Content as described herein. RSRVIN takes no responsibility and assumes no liability for any User Content submitted by you or any other User or third party, nor do we guarantee any confidentiality with respect to User Content.

13. Your Representations and Indemnity You represent and warrant that you own or otherwise control all of the rights to any User Content submitted by you; that all User Content submitted by you is accurate; and that exploitation of such User Content by RSRVIN and its other Users, partners, and licensees will not violate this Agreement, cause injury to any person or entity, or infringe any third-party rights (including, without limitation, intellectual property rights and rights of privacy). You will indemnify, hold harmless, and (at RSRVIN's request) defend RSRVIN, its affiliates, and its and their representatives, agents, directors, managers, officers, employees, and shareholders (collectively, the 'RSRVIN Parties') from and against all claims resulting from (1) any User Content submitted by you, (2) your use of the Services, or (3) any breach or alleged breach by you of this Agreement.

14. Liability Limitations Except as expressly specified herein and in compliance with applicable Cyprus and EU laws, in no event shall the RSRVIN Parties be liable for any indirect, incidental, special, punitive, or consequential damages of any kind, whether based in contract, tort, or otherwise, arising out of or in any way connected with (1) this Agreement (including any changes thereto), (2) any use of the RSRVIN Sites, Services, the RSRVIN Content, or the User Content, (3) any failure or delay (including, but not limited to, the use or inability to use any component of the Services), or (4) your visit to any venue or event and the performance, non-performance, conduct, or policies of any venue or event organizer in connection with the Services.

    RSRVIN is neither an agent of nor otherwise associated with any venue, event organiser or advertiser for which a User has made a reservation, claimed an offer or promotion, or paid using the Payment Services.

    If the disclaimer of direct damages above is not enforceable under applicable law, you expressly agree that our liability to you (for any cause whatsoever and regardless of the form of the action) will at all times be limited to fifty euros (€50).

    You and RSRVIN understand and agree that the disclaimers, exclusions, and limitations in this Section 20 are essential elements of this Agreement and that they represent a reasonable allocation of risk. You understand that RSRVIN would be unable to make the Services available to you except on these terms and agree that this Agreement will survive and apply even if any limited remedy specified in this Agreement is found to have failed of its essential purpose.

15. Disclaimer of Warranties

    You understand and agree that use of the Services is at your own risk, and RSRVIN cannot guarantee that the Services will be uninterrupted or error-free. The Services, all RSRVIN Content, and any other information, products, and materials contained in or accessed through the Services are provided to you on an 'as is' basis without warranty of any kind. RSRVIN expressly disclaims all representations, warranties, conditions, or indemnities, express or implied, including, without limitation, any warranty of merchantability, fitness for a particular purpose, title, non-infringement, or any warranty arising from a course of dealing, performance, or trade usage. RSRVIN does not warrant that your use of the Services will be uninterrupted or error-free, that RSRVIN will review the information or materials made available through the Services for accuracy, or that it will preserve or maintain any such information or materials without loss. RSRVIN shall not be liable for delays, interruptions, service failures, or other problems inherent in the use of the internet and electronic communications or other systems outside the reasonable control of RSRVIN.

    You acknowledge and agree that the reservation details you select—including date, time, and seating preferences (if available)—are not guaranteed. Hosts have the discretion to make changes to reservations as needed, either in advance through the platform, in which case you will be notified, or at the time of the reservation. While every effort is made to provide services as requested, changes may be necessary due to operational requirements or other reasons. Hosts also reserve the right to reject any reservation after it has been submitted for their own reasons, and you will be alerted in such cases.

    The foregoing disclaimers apply to the maximum extent permitted by applicable law. You may have other statutory rights under Cyprus or EU law. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.

16. Third-Party Websites, Applications, and Services

    The Services may contain hypertext links to websites and applications operated by parties other than RSRVIN. Such hypertext links are provided for User's reference only, and RSRVIN does not control such websites and is not responsible for their content. RSRVIN's inclusion of any hypertext links to such websites or applications does not imply any endorsement of the material on such websites or applications or any association with their operators. RSRVIN assumes no liability whatsoever for any such third-party websites, applications, or any content, features, products, or services made available through such third-party websites or applications.

    Additionally, third-party platforms such as but not limited to Apple Inc., Google, Inc., Microsoft Corporation, may be third-party beneficiaries to this contract if you access the Services using applications developed for Apple iOS, Android, Microsoft Windows, respectively. These third-party beneficiaries are not parties to this contract and are not responsible for the provision or support of the Services in any manner. Your access to the Services using these devices is subject to terms set forth in the applicable third-party beneficiary's terms of service, including any license transferability and other usage rules therein.

17. Release

    Venues and Merchants are solely responsible for their interactions with you and any and all claims, injuries, illnesses, damages, liabilities, and costs ('Claims') suffered by you as a result of your interaction with or visit to any Venue or Event or from any promotion, offer, product, or service of any Venue or Event. Users must resolve all disputes directly with Hosts. To the maximum extent permitted by applicable law, you hereby release the RSRVIN Parties from any and all such Claims.
